1. ACCEPTANCE OF TERMS

By downloading, installing, or using any happynikky application ("App"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the App.

These are our general, company-wide terms and apply to all happynikky apps. Individual apps may have additional, app-specific terms describing terms unique to that app. Where an app-specific term differs from these, the app-specific term governs for that app; in all other respects these Terms apply.

2. LICENSE & USAGE RIGHTS

happynikky grants you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes. You may not:

• Copy, modify, or create derivative works based on the App
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, or transfer the App to others
• Use the App for any illegal or harmful purpose
• Remove or alter any copyright or proprietary notices

3. FREEMIUM MODEL & IN-APP PURCHASES

Some Apps are available in a freemium model with both free and paid features. You may purchase additional features or full versions through in-app purchases.

3.1 Payment Processing

In-app purchases are processed through Apple's App Store payment system. All payments are governed by Apple's standard terms. We are not responsible for payment processing, disputes, or refunds. Contact Apple Support for billing issues.

3.2 Refunds

Refunds for in-app purchases are handled by Apple in accordance with their refund policy. happynikky does not process refunds directly.

4. USER DATA & OFFLINE USE

The Apps are designed to work offline. Any data you create remains on your device. Optional sync features (such as iCloud) are your choice and governed by Apple's terms, not ours. happynikky is not responsible for data loss if you choose to sync to iCloud or if you delete the App.

5. DISCLAIMER OF WARRANTIES

The Apps are provided "AS IS" without warranties of any kind, express or implied. happynikky makes no guarantees regarding:

• Uninterrupted or error-free operation
• Accuracy of functionality or results
• Fitness for a particular purpose
• Compatibility with future iOS and macOS versions

6. LIMITATION OF LIABILITY

To the fullest extent permitted by law, happynikky shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App.

7. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and Conditions are governed by the laws of India, without regard to conflicts of law principles.

7.1 Good Faith Resolution

Before initiating any formal proceedings, the parties agree to attempt resolution in good faith by written notice. If the dispute is not resolved within 30 days of such notice, either party may proceed to arbitration as described below.

7.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996 (India), as amended. The seat and venue of arbitration shall be India. The arbitration shall be conducted in English by a sole arbitrator mutually agreed upon by the parties, or failing agreement, appointed in accordance with that Act. The arbitral award shall be final and binding.

7.3 Exceptions

Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction without first resorting to arbitration. Nothing in this section limits the right of consumers to approach Consumer Disputes Redressal Commissions or other statutory consumer forums under applicable Indian law.

7.4 Jurisdiction

For any matters not subject to arbitration, the parties submit to the exclusive jurisdiction of courts in Agra, Uttar Pradesh, India.

8. APPLE REQUIREMENTS

You acknowledge that the App is provided through Apple's App Store. You agree to comply with Apple's App Store Terms of Service in addition to these Terms. In the event of conflict, Apple's terms prevail regarding your use of the App Store.
